1. Acceptance of Terms
By accessing or using IOPS Flight Services (“the Service”), operated by IOPS International LLC, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including operators, ground handlers, agents, and administrators.
2. Description of Service
IOPS Flight Services is a business-to-business (B2B) software platform that facilitates communication and coordination between aircraft operators and ground handlers for flight service requests, ground handling, eAPIS submissions, permit tracking, and trip management.
3. User Responsibilities
By using the Service, you agree to:
- Be at least 18 years of age or have authorization from your employer
- Provide accurate and complete information during registration
- Maintain the security of your account credentials
- Use the Service only for lawful business purposes
- Not attempt to gain unauthorized access to other accounts or systems
- Not transmit any malicious code, viruses, or harmful content
- Comply with all applicable aviation regulations and laws
- Report any security vulnerabilities or breaches immediately
4. Account Creation and Access
Access to IOPS Flight Services requires an approved account. Account creation is subject to approval by your organization administrator or IOPS platform administrators. We reserve the right to:
- Approve, deny, or revoke account access at our discretion
- Suspend accounts that violate these Terms
- Terminate accounts for prolonged inactivity
- Require additional verification for security purposes
5. Intellectual Property Rights
All content, features, and functionality of the Service—including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof—are the exclusive property of IOPS International LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without explicit written permission from IOPS International LLC.
6. Data Privacy and Security
We take data security seriously. By using the Service, you acknowledge that:
- Passenger and crew data is encrypted using AES-256 encryption
- Access to sensitive information is restricted by role-based permissions
- All actions are logged in immutable audit trails for compliance purposes
- You are responsible for protecting data shared through the platform

7. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW:
- IOPS International LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- IOPS International LLC shall not be liable for any loss of profits, data, or business opportunities
- IOPS International LLC shall not be liable for any damages arising from service interruptions or errors
- Our total liability shall not exceed the amount paid by you for the Service in the preceding 12 months
8. Indemnification
You agree to indemnify, defend, and hold harmless IOPS International LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida and the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
12. Termination
Either party may terminate this agreement at any time. Upon termination, your right to access the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and dispute resolution.
